By using UploadFlow, you agree to these Terms of Service. Please read them carefully. UploadFlow is operated by Cactus Media Producties (Chamber of Commerce / KvK: 90645669, Netherlands).
1. Acceptance of Terms
By accessing or using UploadFlow, you agree to be bound by these Terms. If you do not agree, please do not use our service. You must be at least 16 years old to use UploadFlow; to purchase a subscription or credits you must be at least 18 years old or have the consent of a parent or guardian. If you use UploadFlow on behalf of a company, you confirm that you are authorized to accept these Terms for that company.
2. Description of Service
UploadFlow is an AI-powered tool to prepare, review, share and publish content. It analyzes your videos, generates titles, captions and hashtags, and publishes or schedules content to the social media accounts you connect, including YouTube, TikTok, Instagram, Facebook and LinkedIn. You can also save videos and photos as concepts and share them through review links, and on the Agency plan manage clients and invite team members.
3. Your Account and Your Content
- You are responsible for keeping your login details safe and for all activity under your account.
- You are responsible for all content you upload, share or publish through UploadFlow, and you must own or have the rights to it.
- You must comply with the terms of service of every platform you connect.
- You may not use UploadFlow for illegal, harmful, misleading or infringing content, for spam, or to abuse platform algorithms.
- You keep all rights to your content. You give us only the permission we need to store, process, share and publish it on your instructions in order to provide the service.
4. Credit System
- Credits are consumed when you analyze videos or generate content.
- Credits are non-refundable once used.
- Monthly plan credits do not roll over to the next month. Purchased credit packs do not expire.
- We reserve the right to adjust credit pricing with 30 days notice.
5. Subscriptions, Billing & Refunds
- Paid plans are billed in advance on a monthly or yearly basis via our payment provider Mollie, and renew automatically until cancelled. The current plans, prices and limits are shown on our pricing page.
- You can cancel your subscription at any time in Settings; your plan remains active until the end of the current billing period and will not renew afterwards.
- Free trial. Accounts on the Free plan can try a paid plan once, free for 14 days. To start the trial you make a one-time payment of €0.01, which sets up automatic payment through Mollie. When the trial ends, the plan you chose starts automatically at its normal price and renews as described above. We email you a reminder 3 days before the trial ends. If you cancel before the trial ends, you move back to the Free plan and are not charged. The 14-day withdrawal period for consumers starts on the day of the first paid payment.
- Yearly plans (consumers). A yearly plan renews automatically after the first year. After that first year, consumers can cancel at any time with one month's notice; we then refund the full months that remain after the notice period. Write to service@uploadflow.app to use this. Business customers keep the yearly term they chose.
- When switching to a lower plan, your current plan stays active until the end of the billing period, after which the new plan and its limits take effect.
- Upgrades and account balance. When you upgrade during a billing period, you pay only the difference for the remaining days. If you pay more than needed (for example because you paid for two upgrades at the same time, or for a plan that was later replaced), the difference is added to your UploadFlow balance. Your balance is used automatically for your next payments, such as renewals and credit packs, and is shown in Settings. A balance has no cash value and is not paid out, except where the law requires a refund, or when you close your account and ask us to pay out the remaining balance.
- Apart from the cases in this section, payments for billing periods already started and credits already used are non-refundable, except where required by law. Your statutory rights remain unaffected.
- Right of withdrawal (consumers in the EU/EEA). As a consumer you can withdraw from a subscription within 14 days of purchase without giving a reason. At checkout you ask us to start the service immediately; if you then withdraw, you pay a proportionate amount for the days you used the service and we refund the rest. Credit packs are digital content: at checkout you ask us to deliver them immediately and acknowledge that your right of withdrawal ends once the credits have been added to your account. To withdraw, send a clear statement to service@uploadflow.app, for example using the model form below. We refund within 14 days, using the same payment method. This right does not apply to business customers.
- Model withdrawal form. To Cactus Media Producties (UploadFlow), service@uploadflow.app: I hereby give notice that I withdraw from my contract for the following service: [plan or credit pack], ordered on [date], name: [name], email address of the account: [email], date: [date].
- Prices are shown in euros and may be changed with at least 30 days notice; changes apply from your next billing period. If we raise the price of your plan, you can cancel before the new price applies and you will not be charged the higher price.
- Prices include Dutch VAT. If you are a business in another EU country and add a valid VAT number under Settings, you are charged the price without VAT and the VAT is reverse charged. You are responsible for the correctness of the billing details you provide.
6. Platform Connections
When you connect your YouTube, TikTok, Instagram, Facebook or LinkedIn accounts, you authorize UploadFlow to publish content on your behalf. You can revoke this access at any time in UploadFlow or through the settings of the respective platform.
UploadFlow uses YouTube API Services. By using the YouTube features of UploadFlow, you also agree to be bound by the YouTube Terms of Service and acknowledge the Google Privacy Policy. You can revoke UploadFlow's access to your YouTube data at any time via the Google security settings page. See our Privacy Policy for details on what YouTube data we access and how it is handled.
7. AI-Generated Content
UploadFlow uses AI to generate titles, captions, descriptions and images. We do not guarantee the accuracy, originality or quality of AI-generated content. You are responsible for reviewing and approving all content before publishing.
Where the law requires it, for example for realistic AI-generated people, voices or scenes, you must clearly disclose that content is AI-generated when you publish it. UploadFlow marks content made with its AI host as AI-generated, and you may not remove or hide that label.
8. Concepts, Storage and Shared Links
- Videos and photos you save as concepts are stored for the retention period and within the storage limit of your plan. After the retention period, or when you delete them, files are permanently deleted and cannot be recovered.
- Anyone who has a review link or client overview link can view, comment on and download the files behind it, without logging in. You decide who receives these links. To stop access, you can delete a concept at any time, or create a new client overview link, after which the old one stops working.
- We show whether files have been downloaded and pass on feedback from reviewers, including the name a reviewer chooses to enter.
- Reporting illegal content. If you see content on a review link or client overview that you believe is illegal or breaks these Terms, report it to service@uploadflow.app with the link and the reason. We review reports promptly and carefully. We may disable a link or remove content that is illegal or breaks these Terms, and we tell the account holder what we did and why, so they can respond. This email address is also our point of contact for authorities and users under the EU Digital Services Act.
- UploadFlow is not a backup service. Always keep your own copy of your original files. We are not responsible for the loss of files that have expired, were deleted, or were lost due to a technical failure.
9. Teams and Clients (Agency)
- The account holder of an Agency workspace decides who is invited as a team member and which role they get, and is responsible for what team members do in the workspace.
- When you add clients, their names, email addresses, logos and the content you link to them are processed on your behalf. You are responsible for having a valid basis to share this information and content with us and with your clients.
- A plan may limit the number of team members. When you remove a team member, they lose access to the workspace immediately.
10. Availability and Third-Party Platforms
We work hard to keep UploadFlow available and to publish your scheduled content on time, but we cannot guarantee that the service will always be available or free of errors. Publishing depends on third parties such as YouTube, TikTok, Meta (Instagram and Facebook), LinkedIn, Cloudflare and our hosting provider. We are not responsible for outages, rejections, changes to their APIs or policies, limits they impose, or content they remove or restrict. If a scheduled post fails, we will show this in the app and in your notifications so you can take action.
Publishing on paid plans is unlimited, subject to fair use and the limits of each platform. To keep UploadFlow working well for everyone, we limit the number of uploads per account per day. For YouTube this depends on your plan: 2 videos per day on Free, 5 on Social, 10 on Pro and 25 on Agency and Business, counting uploads and scheduled posts together. If a scheduled post would go over such a limit, we move it to the next day and let you know.
11. Limitation of Liability
- UploadFlow is provided "as is" and "as available", without warranties of any kind, except the statutory guarantees that apply to consumers.
- We are not liable for indirect or consequential damages, including lost revenue, lost profit, missed campaigns, account penalties, reputational damage, lost data or content removal by platforms.
- Our total liability for any claim related to UploadFlow is limited to the amount you paid us in the 12 months before the event that caused the damage. If you use a free plan, our liability is limited to €100.
- These limitations do not apply to damage caused by our intent or deliberate recklessness, and do not limit any liability that cannot be limited under applicable law, including mandatory consumer law.
12. Indemnification
If you use UploadFlow for business purposes, you agree to indemnify Cactus Media Producties against claims from third parties, including your clients and the platforms you publish to, arising from your content or from your use of UploadFlow in breach of these Terms.
13. Termination
We reserve the right to suspend or terminate accounts that violate these Terms. You may delete your account at any time; upon deletion your stored data, including concepts, files and connected platform tokens, is removed as described in our Privacy Policy, except for data we are legally required to keep, such as invoices.
14. Changes to Terms
We may update these Terms from time to time. For material changes we will notify you (for example by email or an in-app notice) before they take effect. Continued use of UploadFlow after changes take effect constitutes acceptance of the new Terms. If you do not agree with a change, you can cancel your subscription or delete your account before it takes effect.
15. Governing Law
These Terms are governed by the laws of the Netherlands. Any disputes will be submitted to the competent court in the Netherlands, without prejudice to mandatory consumer protections that apply in your country of residence.
